Sweden.- June 13, 2023 www.zonadeazar.com [1] LeoVegas AB announces that the Company today has initiated a written procedure under its outstanding SEK 700,000,000 senior unsecured callable floating rate bonds with ISIN SE0015242854 , in order to facilitate for a request for the bondholders’ consent to an early redemption in full of the Bonds . The Early Redemption will, if the Written Procedure is approved by the bondholders, be made at a price equal to 100 per cent of the nominal amount of the Bonds plus accrued interest and an amount equal to all remaining interest payments up to and including the final maturity date (so called make-whole).
LeoVegas has today instructed Intertrust (Sweden) AB (the “Agent”), in its capacity as agent under the Bonds, to send notices of Written Procedure including voting instructions in respect of the Bonds to the direct registered owners and registered authorised nominees of the Bonds in the Company’s debt ledger held with Euroclear Sweden AB as per 9 June 2023.
The outcome of the Written Procedure will be announced by way of press release in connection with the termination of the Written Procedure. The voting record date is 22 June 2023 and the last day for voting in the Written Procedure is 7 July 2023. The Written Procedure may however be completed before the expiry of the time period for replies if a requisite majority has been obtained prior thereto.
