Tabcorp Sees BetMakers as Lowest-Risk Route to Tech Modernisation

The Australian operator is acquiring 100% of BetMakers shares for AU$0.24 per share, valuing the technology provider at approximately AU$283 million, with an enterprise value of around AU$267 million.
Technology Modernisation
The decision reflects Tabcorp’s need to update an infrastructure that currently combines legacy systems, on-premises data centres, cloud technology and several third-party ancillary services.
Compared with carrying out a full internal transformation, Tabcorp concluded that integrating BetMakers’ cloud-native and asset-light platform would allow it to reach its objectives faster and with lower execution risk.
The acquired technology already operates profitably and includes developed capabilities across data, product, content and customer experience.
Synergies and Savings
Tabcorp expects to generate annual cost synergies of up to AU$30 million by the end of the second year following completion.
The savings are expected to come primarily from integrating BetMakers’ technology suite, rationalising data centres, consolidating contracts and streamlining corporate and support functions.
Management believes these benefits can be realised more quickly than through a fully in-house technology overhaul.

Tabcorp CTO Robert Fraser said the company’s analysis showed that cost synergies could be delivered “much faster and cheaper” with BetMakers than through an internal transformation.
CFO Mark Howell described the acquisition as “the cheapest and most efficient way home” and, in Tabcorp’s view, also “the lowest risk option” for modernising the technology stack.
CEO Gillon McLachlan also highlighted BetMakers’ complementary capabilities and experience in digital transformation.
Sky Racing Integration
The acquisition will also allow Tabcorp to integrate BetMakers’ racing data capabilities into Sky Racing coverage.
Tabcorp plans to create an end-to-end offering combining racing media, data, wagering technology and tote services for distribution across international markets.
The broader objective is to build a proposition integrating vision, data, technology and wagering services within a single infrastructure.
Teams and Future Development
Robert Fraser will lead the new technology team responsible for the integration.
Tabcorp also intends to retain key BetMakers executives and specialists, particularly those with expertise in digital transformation and early adoption of artificial intelligence.
The group believes BetMakers’ lean and agile operating culture can complement Tabcorp’s internal modernisation programme.

The immediate priority will be to integrate the platforms and teams without disrupting existing operations while beginning to capture the projected synergies.
Over the longer term, Tabcorp expects the deal to reduce technology complexity, strengthen its data and product capabilities and create a more scalable platform for expanding its racing and wagering services internationally.
