Evolution Terminates Galaxy Gaming Acquisition

United States.- 22 July 2026 | www.zonadeazar.com  Evolution has terminated its agreement to acquire Galaxy Gaming after prolonged regulatory delays prevented the transaction from being completed. The company will pay a US$5.2 million termination fee, although both businesses will maintain their commercial relationship.

Evolution formally notified Galaxy Gaming that it was terminating the merger agreement involving the specialist supplier of casino table games and technology.

The acquisition was announced in July 2024 and valued at approximately US$81 million. Evolution agreed to purchase all outstanding Galaxy Gaming shares for US$3.20 each, representing a 124% premium over the company’s closing price before the announcement.

Two Regulatory Approvals Remained Outstanding

The transaction was required to close by 17 July 2026 after the companies agreed to extend the original deadline.

However, two required regulatory approvals remained outstanding when the deadline expired. Evolution did not waive those conditions and exercised its right to terminate the agreement.

The transaction had been under review for approximately two years and was originally expected to close during the first quarter of 2026.

Evolution Will Pay US$5.2 Million

As a result of the termination, Evolution must pay Galaxy Gaming a fee of approximately US$5.2 million.

Despite the unsuccessful acquisition, both companies will continue working together under their existing commercial relationship and licensing agreements.

Galaxy Gaming develops and distributes table games, bonusing systems and technology for casinos. Its products hold more than 130 licences and are available across 28 US states and more than 30 countries.

The termination ends a transaction intended to expand Evolution’s position in table games and strengthen its content portfolio for land-based and online casinos.
